Terms of Service

These terms apply to the use of RealGrip, software for rental management, accounting (FinPro) and digital inspections (InspectPro), offered by Nunderdogs Software ("RealGrip", "we"). RealGrip is a business (B2B) service: you use it in the course of your business or profession.

1. Applicability

These terms apply to all offers, agreements and use of RealGrip, including pilot and demo environments. Deviations are only valid if agreed in writing. Purchasing or other terms of the customer do not apply. Third-party services you connect yourself (such as Microsoft, Google, Stripe, Mollie) are additionally governed by those third parties' terms.

2. The service

RealGrip is provided as an online service (SaaS) over the internet. We make every reasonable effort to deliver the service carefully and professionally (best-efforts obligation). We may develop and improve the service; the core functionality you subscribe to is preserved. During a pilot phase, features may be marked "pilot" or "beta"; those are provided as-is.

3. Account and use

You are responsible for keeping login credentials confidential and for all use through your account and the users you create. You use the service only for your own organisation and administration(s), and not in violation of the law or third-party rights. Reselling or making the service available outside your organisation requires our written consent.

4. Fair use

Use of storage, processing capacity and AI features is subject to fair use. If your usage structurally exceeds three times the average of comparable customers, we will first consult with you on a suitable solution; only then may we limit usage. Credit bundles may apply to AI and signing features; these are shown in your licence overview.

5. Prices and payment

Subscription prices are per month and exclude VAT unless stated otherwise. We may adjust prices with at least 30 days' notice by e-mail; in case of an increase you may terminate the agreement effective from the date the increase takes effect. Payment is due within 14 days of the invoice date or via the agreed direct debit. In case of non-payment we may suspend access after a reminder with a reasonable term; your payment obligation remains.

6. Availability and maintenance

We aim for the highest possible availability but do not guarantee uninterrupted operation. Planned maintenance is carried out outside office hours where possible and announced in advance when there is noticeable impact. We address outages as quickly as reasonably possible.

7. Your data

All data you or your users enter in RealGrip remains yours. We use it solely to provide the service and never sell it. You can export your data yourself at any time, including the audit file (XAF) and common exports for your accountant.

8. Intellectual property

All rights to the software, website and documentation remain with Nunderdogs Software or its licensors. For the duration of the agreement you receive a non-exclusive, non-transferable right of use for the agreed number of users and buildings.

9. Privacy and processing

Our privacy policy applies to the processing of personal data. For data you enter about e.g. tenants, you are the controller and we act as processor; the data processing agreement forms part of these terms. We only engage sub-processors needed for the service, such as EU hosting (mijn.host, the Netherlands; dedicated servers in the Netherlands or France), payment and signing services, and the e-mail/calendar providers you connect yourself.

10. Security and backups

We take appropriate technical and organisational measures: encrypted connections (TLS), encrypted storage of sensitive data, restricted and logged access, and daily backups. Personal-data incidents are reported in accordance with the GDPR.

11. AI features

Some features use artificial intelligence, for example for text suggestions, invoice recognition and tax signals. AI output is an aid and not tax, legal or other professional advice: you verify an outcome before using it. Where AI is used, we indicate this in the service.

12. Liability

Our liability is limited to direct damage and to a maximum of the amount you paid for the service in the 12 months preceding the event causing the damage. Liability for indirect damage — including consequential damage, lost profit, missed savings and business interruption — is excluded. These limitations do not apply in case of intent or deliberate recklessness of our management. A claim lapses if not reported to us in writing within 30 days of discovery.

13. Force majeure

Neither party is required to perform where performance is impossible due to force majeure, including failures at hosting or telecom providers, power outages, cyber attacks despite appropriate security, and government measures. If force majeure lasts longer than 60 days, either party may terminate the agreement in writing for the part not yet performed.

14. Term, termination and exit

The agreement runs per month and can be terminated monthly, unless agreed otherwise in writing. We may terminate with immediate effect in case of abuse, unlawful use or persistent non-payment after notice of default. After termination you can export your data for another 30 days; after that we delete it, unless a statutory retention obligation applies. Continuity: if we discontinue the service as a whole, a phase-out period of at least 3 months applies during which the service keeps working, you can export all your data and we assist with migration free of charge.

15. Changes to these terms

We may amend these terms. Material changes are announced at least 30 days in advance by e-mail or in the application. If you do not agree with a material change, you may terminate the agreement effective from the date the change takes effect.

16. Governing law

These terms and the agreement are governed by Dutch law. Parties first submit disputes to each other in reasonable consultation; thereafter the competent court of the place of business of Nunderdogs Software has jurisdiction.
